These Terms & Conditions govern services and digital products provided by Melanie Edwards Co., LLC (“we,” “us,” or “our”). By submitting payment, approving a proposal, engaging services, or purchasing a digital product, you agree to these terms.
1. Engagement & Authorization
You (“the Client”) are engaging Melanie Edwards Co., LLC as an independent contractor to provide digital design, website refinement, communication design, restructuring, and strategic consulting services.
Services may include research, evaluation, planning, organization, design, implementation, and refinement depending on the project scope.
For website projects, this may include access to your Wix account or authorization to build, modify, or manage your website on your behalf. Melanie Edwards Co., LLC is not affiliated with Wix and does not control third-party platform performance, availability, policies, or functionality.
2. Scope of Work
Project scope is defined in your proposal, agreement, or invoice and may include:
• Website design and restructuring
• Website refinement and optimization
• Content organization and alignment
• Visual and UX refinement
• Communication and presentation design
• Digital system structure
• Strategic recommendations and planning
Services may include discovery, assessment, strategy recommendations, content organization, design direction, implementation, and refinement as outlined in the agreed scope.
Any work outside the agreed scope requires approval and may require a revised quote or additional charges.
3. Timeline & Communication
Estimated timelines are provided based on project scope, client responsiveness, asset availability, and project complexity.
Timelines may shift due to:
• Delayed approvals or feedback
• Missing content, materials, or access
• Additional requests or scope changes
• Third-party platform limitations
You agree to:
• Provide required content, materials, and access in a timely manner
• Review deliverables and provide feedback within a reasonable timeframe
• Communicate project decisions and approvals promptly
Projects inactive for 60+ days may incur a $185 restart fee.
4. Revisions & Scope Changes
Revision rounds are defined by project scope and proposal.
Additional revisions, changes after approval, or requests outside the agreed scope may be billed at $125/hour.
Changes that affect project direction, structure, functionality, or timeline may require a revised scope agreement.
5. Payment Terms
Projects are either:
• Paid in full upfront, or
• Split into agreed milestone payments
Website refinement engagements may begin with a minimum assessment engagement before implementation work begins, as outlined in the project proposal or invoice.
Additional work is billed according to the agreed project structure or hourly rate.
Hourly services are billed at $125/hour unless otherwise stated.
Final payment is due upon completion of the agreed scope before final transfer of deliverables, access, or ownership.
Late payments may incur:
• $100 late fee
• 1.5% monthly interest on outstanding balances
6. Accepted Payment Methods
Accepted payment methods may include:
• Credit/Debit Card
• ACH Bank Transfer
• Third-party payment providers where available
7. What’s Not Included
Unless explicitly stated in writing, services do not include:
• Wix Premium plans, domain purchases, or third-party subscriptions
• App fees, transaction fees, or software costs
• Advanced SEO strategy or ongoing SEO services
• Full-service copywriting or content creation
• Photography, illustration, or licensed assets
• Custom coding or advanced Velo development
• Ongoing website maintenance or support agreements
Additional services may be quoted separately.
8. Client Responsibilities
The Client is responsible for:
• Providing accurate information and content
• Ensuring they have rights to use all submitted materials
• Reviewing and approving all content, including AI-assisted content
• Ensuring business policies, legal documents, privacy policies, and terms are accurate
• Maintaining access to accounts, domains, subscriptions, and third-party services
Melanie Edwards Co., LLC is not responsible for inaccuracies, legal compliance issues, or third-party materials provided by the Client.
9. Cancellations & Refunds
Refunds are determined based on work completed at the time of cancellation.
Discovery, assessment, strategy, research, planning, design, and implementation services are considered completed work once performed.
No refunds will be provided for completed services.
Digital products are non-refundable once delivered.
If a project is canceled after work has begun, any remaining balance will be determined based on completed work, expenses, and project status.
10. Ownership & Usage
Upon receipt of final payment, Client receives ownership of the completed deliverables created specifically for their project.
Melanie Edwards Co., LLC retains ownership of:
• Proprietary processes
• Frameworks and methodologies
• Templates and systems
• Internal tools and workflows
• Design approaches and reusable components
Melanie Edwards Co., LLC retains the right to showcase completed work in portfolios, case studies, and marketing materials unless otherwise agreed upon in writing.
Digital products are licensed, not sold, and remain the property of Melanie Edwards Co., LLC.
11. AI-Assisted Tools
Melanie Edwards Co., LLC may use AI-assisted tools as part of research, organization, ideation, content refinement, workflow support, or creative development.
All AI-assisted outputs are reviewed, refined, and guided through professional judgment.
Final deliverables remain subject to Client review and approval.
12. Limitation of Liability
All services are provided on an “as available” basis.

Melanie Edwards Co., LLC is not responsible for:
• Platform outages or changes
• Third-party service failures
• Client-provided content errors
• Loss of access caused by third-party providers
• Specific business outcomes, sales results, traffic increases, rankings, or performance guarantees
The Client acknowledges that digital services support business goals but do not guarantee specific results.
13. Digital Products & Licensing
Digital products, templates, resources, and downloadable materials are licensed according to the terms provided with each product.
You may:
• Customize purchased products for your own business use
• Use licensed products according to the included license terms
You may not:
• Resell, redistribute, share, or transfer digital products
• Extract components for resale or competing products
• Claim original products, frameworks, or design systems as your own intellectual property
All digital products remain the property of Melanie Edwards Co., LLC.
14. Legal & Dispute Resolution
These Terms & Conditions are governed by the laws of the State of Florida.
Any disputes arising from services provided by Melanie Edwards Co., LLC will be resolved through arbitration in Florida unless otherwise required by applicable law.
